Production Agreement
•Whats Included: Producer fee for producing audio recording, two vocal sessions, 5 revisions of production/mix, & subsequently the delivery of master recording as well as alternate mixes (Master, Instrumental, Voc-Up, Acapella & TV Mix), Stems/Multis, & Live Performance Samples/One-Shots. Producer is not responsible for any additional fees including but not limited to: Session Musicians, Administration Fees, Engineers, Mix, Master & Expendables.
•Producer's office hours are 10am-6pm central time, Mon-Fri.
•To accommodate any deadline, a date must be communicated at submission of this form.
•To begin work on a new project, a non-refundable deposit of half is due up front. Any cancellation of a project after 20 days of initial deposit will be subject to full payment.
•If Production Fee is $500 or less, full amount may be due upfront.
•Revisions are welcome but must be requested within 15 days from delivery of the current revision. Each round of revision notes must come collectively from one email/message. Any project that is stagnant for over 30 days, due to revisions, additions, or inactivity may be subject to full payment & other projects may take priority. To restart a project after inactivity, the full production fee may be charged again.
•After revision limit is reached or an hourly rate is needed, payment structure goes into a non-proratable $50/hr for any additional work.
•Requests for bounces/work mixes (pre-final, pre-mix) will be at producers discretion. Any “work in progress” or bounces that are not considered “Revision Bounces” will count towards revision limit. This excludes any “pre-final” bounces that may be needed to track additional parts (no drums mix, instrumental, etc).
•Final production payment is due & must be paid when the project is ready to be sent to mix but before it is sent to mix. If Producer is mixing & mastering sound recording, final payment is due when final Master recording is ready to be delivered.
•Upon final payment, client will receive Master, Instrumental, Acapella, Voc-Up, & TV Mix, Stems/Multis, & Live Performance One-Shots of audio recording. Any additional versions & bounces may be subject to additional fees. Additionally, any other derivative version where additional production is needed may be charged a production fee.
•Clients will be given a downloadable link of the final masters & alternative mixes at final payment. All other deliverables will be delivered in a timely manner via a non-downloadable link. With final payment comes the transfer of the master license to client. Client may request finals for up to 6 months from completion date. If requested after 6 months, a fee may be applied to retrieve those files.
•Clients assumes full responsibility of delivered files. Producer may or may not be able to produce & provide deliverables if requested at a later date.
•Once production of the song has been approved (by both producer & artist/representative/label) to send to mix stage using Producer or hired Mix Engineer, any production changes from that point on may result in additional production & mix fees.
•Any revisitation of a project to “re-open” & make changes after project is deemed complete & finals are delivered, may be subject to full producer or hourly rate.
•At any time either party can stop production of the sound recording. If production is stopped prior to 20 calendar days in or after 1st revision is delivered, client will be responsible for a kill fee of half the production rate. If invoked after 20 calendar days or after work has started on 2nd revision, client is responsible for full payment. If this is ever invoked the Master License for sound recording will stay under the control of the producer & the producer is no longer obligated to work on project or provide any more deliverables (alt mixes, mixes, session files).
•Client agrees not to publicly post or publish ANY version of the song, excluding files that are deemed final. If a version other than the final is posted, the client must surrender the remaining balance. Producer is entitled to any Master license royalties that may be accrued prior to payment in full. Bounces needed “pre-final” mix/master for any promotional material may be requested from Producer.
•Producer has final decision of any hired contractors pertaining to the audio recording, including but not limited to musicians, programmers, mixers & mastering engineers.
•Will credit Producer, Will Cooper, properly in respect to roles filled (producer, mixer, songwriter, etc) in liner notes, when uploading songs to DSPs, distributors, digital/physical, or wherever metadata permits. Producer also reserves the right to remove likeness from the project. Any alterations or additions to credits or personnel, including adding additional writers, producers, or musicians, must be discussed & agreed upon prior to release of audio recording.
•If artist or client would like “Producer” credit, it is a one-time fee of $500 to append such credit. It is an additional $1,000 to remove Will Cooper’s production credit at the request of artist (Ghost Production).
•Any revisitation of a project to “re-open” & make changes after project is deemed complete & finals are delivered, may be subject to full producer rate or an hourly rate.
•Client agrees to only add email address info@willcooper.com to any DSPs that may require it for splits.
•If applicable, client must send a Letter of Direction (LOD) to representing record label or representatives with attached royalty schedule.
